Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Asterai Pty Ltd ("Asterai", "we", "us", or "our"), including our website, APIs, tools, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Accept responsibility for all activity under your account

You are responsible for safeguarding any API keys, tokens, or credentials associated with your account. Notify us immediately if you suspect unauthorised access.

You may delete your account at any time. We may suspend or terminate your account if you violate these Terms or fail to pay applicable fees.

3. Services and Pricing

The Services may include free and paid tiers with different features and usage limits. Current pricing and limits are available on our website and may change with notice.

Some features may be designated as beta or experimental and may be modified or discontinued at any time.

4. User Content

4.1 Ownership

You retain ownership of all content you create, upload, or publish through the Services ("User Content").

4.2 Licence to Asterai

By publishing User Content, you grant Asterai a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display your User Content solely to operate and provide the Services.

4.3 Public Content

Content you choose to make public may be viewed and used by other users in accordance with any licence you specify.

4.4 Responsibility

You are solely responsible for your User Content and represent that you have the necessary rights to publish it and that it complies with these Terms and applicable laws.

5. Acceptable Use

You agree not to use the Services to:

  • Publish malware, viruses, or malicious code
  • Distribute illegal content or content that violates third-party rights
  • Host or distribute content that exploits minors
  • Publish content that is defamatory, harassing, or threatening
  • Attempt to gain unauthorised access to the Services or other accounts
  • Interfere with or disrupt the Services
  • Circumvent usage limits or security measures
  • Resell or redistribute the Services without authorisation
  • Use the Services in violation of any applicable law

We reserve the right to suspend or terminate accounts that violate these policies.

6. Fees and Payment

For paid services, you agree to pay all applicable fees. Billing is processed through our payment processor. Fees are non-refundable except as required by law.

Fees are exclusive of taxes. You are responsible for any applicable taxes.

We may change our prices with 30 days' notice. Continued use after a price change constitutes acceptance.

7. Intellectual Property

The Services, including software, documentation, and trademarks (excluding User Content), are owned by Asterai or our licensors. These Terms grant you only the limited right to use the Services as described.

If you provide feedback or suggestions, you grant us a perpetual, royalty-free licence to use that feedback without obligation to you.

Certain components may be provided under open-source licences, which govern your use of those components.

8. Third-Party Services

The Services may integrate with third-party services. Your use of third-party services is governed by their terms. We are not responsible for third-party services.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will be uninterrupted, secure, or error-free.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTERAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 AUD.

Some jurisdictions do not allow certain limitations of liability. In such cases, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless Asterai from any claims, damages, or expenses arising from your use of the Services, your User Content, or your violation of these Terms.

12. Dispute Resolution

Before initiating formal proceedings, you agree to contact us at support@asterai.io and attempt to resolve any dispute informally for at least 30 days.

These Terms are governed by the laws of Australia. Any disputes shall be resolved in the courts of Australia.

13. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Asterai.

If any provision is found unenforceable, the remaining provisions continue in effect. Our failure to enforce any provision does not waive that provision.

You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.

We may modify these Terms at any time with notice. Continued use after modifications constitutes acceptance.
